1. Flash Conclusion
China Modern Dairy Holdings Ltd. (CMD) disclosed a return to profit and stronger operating cash generation at its non-wholly owned subsidiary, Modern Farming (Group) Co., Ltd. (Modern Farming), for the first nine months of 2026. Modern Farming's revenue rose 16.9% year on year to RMB10.926bn, net profit was RMB231m against a RMB1.016bn loss, and operating cash flow increased to RMB1.876bn from RMB1.265bn. The smaller loss from fair-value changes was an important part of the earnings improvement, but remained substantial at RMB1.266bn.
This is a constructive operating signal for CMD's upstream platform, not a new set of CMD consolidated accounts. The figures cover only Modern Farming and its subsidiaries, are unaudited and use PRC GAAP. Subsidiary current liabilities exceeded current assets, while operating cash flow was insufficient to cover total investing outflow. The release does not establish cash available to CMD's offshore bondholders, post-acquisition group leverage or the full group's liquidity. We retain the prior view that cash generation and the Mengniu relationship support credit quality, while refinancing, valuation and holding-company structural risks remain material.
2. Subsidiary Earnings: Improvement, With a Significant Valuation Charge
Modern Farming's operating income increased by RMB1.578bn from a year earlier. Its reported operating profit was RMB243m, compared with a RMB1.001bn loss in 9M2025. The RMB1.097bn reduction in the loss from fair-value changes was a major contributor to the turnaround; operating costs also rose by RMB1.548bn. The financial statement does not provide a full explanation of the drivers or a separate raw-milk price and volume bridge. Accordingly, the improvement does not by itself establish restored pricing power or a permanent normalisation of dairy-cow values.
| Modern Farming and subsidiaries; RMBm unless stated | 9M2026 | 9M2025 | Credit reading |
|---|---|---|---|
| Operating income | 10,926 | 9,348 | Higher reported revenue; mix and price/volume drivers are not supplied here. |
| Loss from fair-value changes | (1,266) | (2,363) | Smaller drag, but material sensitivity remains. |
| Operating profit/(loss) | 243 | (1,001) | Turned positive under PRC GAAP. |
| Net profit/(loss) | 231 | (1,016) | Includes profits attributable to minority interests. |
| Profit/(loss) attributable to Modern Farming's owners | 137 | (876) | This is not CMD's consolidated profit attributable to its shareholders. |
| Operating cash flow | 1,876 | 1,265 | Higher cash generation at the subsidiary scope. |
The difference between Modern Farming's RMB231m consolidated net profit and RMB137m profit attributable to its own owners reflects RMB94m attributable to minority interests. Neither figure can be substituted for CMD's nine-month consolidated attributable profit. CMD had reported a modest profit in its separate 1H2026 announcement, with lower dairy-cow valuation losses, higher volumes and lower unit costs. That earlier CMD disclosure has a different reporting perimeter and period; it is useful context rather than a basis for calculating a CMD third-quarter result from this release.
3. Cash Flow, Maturities and the Funding Buffer
The subsidiary generated RMB1.876bn of operating cash in 9M2026, an increase of RMB611m. Net investing outflow was RMB2.687bn, leaving an RMB811m gap between operating and investing cash flows before financing and exchange effects. This is a cash-flow bridge, not a conventional estimate of maintenance capex or a prediction of future funding needs. The net investing figure includes RMB1.657bn placed in deposits with maturities over three months and RMB450m withdrawn from such deposits, a net RMB1.207bn placement. The filing does not identify the accessibility or restrictions on those deposits.
Cash paid for breeding productive biological assets was RMB2.010bn, and cash paid to acquire or construct fixed and other long-term assets was RMB500m. These outflows were partly offset by RMB958m of proceeds from disposal of biological assets and other investing inflows. Positive operating cash flow therefore supports the credit assessment, but is not by itself evidence that all investment and breeding needs are internally funded. Net financing inflow was RMB667m, including RMB7.535bn of borrowing proceeds and RMB6.795bn of borrowing repayments. The cash-flow statement does not establish which particular draw funded any particular use.
At 30 September, Modern Farming reported RMB2.526bn in cash and cash equivalents on its cash-flow statement, down from RMB2.676bn at the start of the year. Its balance-sheet monetary funds were RMB3.004bn. The release does not reconcile the two amounts or establish how much could be transferred to CMD or used for debt service, so they should not be added together or assumed to be unrestricted.
| Modern Farming and subsidiaries; RMBbn | 30 Sep 2026 | 31 Dec 2025 | Reading |
|---|---|---|---|
| Current assets | 8.832 | 8.430 | Includes inventories and receivables, not just cash. |
| Current liabilities | 9.397 | 8.710 | Current-liability excess widened to RMB0.565bn from RMB0.280bn. |
| Short-term borrowings | 1.330 | 1.786 | One part of near-term obligations. |
| Non-current liabilities due within one year | 3.751 | 2.157 | Increased materially; composition is not specified in the release. |
| Long-term borrowings | 9.827 | 9.697 | Separate from the above current portion. |
| Total equity | 11.718 | 10.952 | Includes minority interests and perpetual instruments. |
The increase in non-current liabilities due within one year increases the importance of understanding their composition and settlement, including any refinancing needs. The release does not specify how much of that category consists of borrowings rather than other obligations. Current liabilities also include RMB3.256bn of accounts payable, so the RMB0.565bn current-liability excess should not be equated to an immediate debt repayment shortfall. The release does not set out unused committed facilities, pledged balances, maturity details or covenant headroom. Meanwhile, fair-value changes can still weaken earnings and the equity cushion even when operating cash flow remains positive.
After the reporting date, Modern Farming issued RMB500m of domestic perpetual medium-term notes on 26 October at an initial 2.50% annual rate, with an initial two-year term and perpetual extension unless redeemed by the issuer. CMD said the proceeds would settle bills payable related to green industry projects. This is evidence of an additional funding channel, but it does not increase the 30 September cash balance retroactively or prove general-purpose liquidity at the offshore parent. At 30 September the subsidiary's equity included RMB504m of other equity instruments described as perpetual bonds; their accounting classification should not be treated as a guarantee that distributions or refinancing are without economic cost.
4. Credit Read-Through and Monitoring
CMD's 2030 US-dollar bonds are obligations of the Cayman holding-company issuer. Stronger subsidiary operating cash flow is relevant to its credit profile, but the release does not establish the timing or legal availability of distributions upstream, the terms of cross-guarantees, or unrestricted access to PRC cash. The previous credit view also relies on Mengniu's role as customer and shareholder; this business relationship should not be described as a guarantee of the bonds. The subsidiary filing does not update CMD consolidated net gearing, facilities or the full funding and integration effect of China Shengmu.
The 4 June downside discussion asked whether cash generation could hold up while biological-asset losses and refinancing pressures continued. The current evidence supports a narrow answer for Modern Farming: operating cash flow improved and the recorded fair-value loss fell, but the loss remained large and current liabilities exceeded current assets. It does not validate the discussion's price sensitivities or resolve its CMD-wide liquidity and Shengmu questions. Those remain for the next full summary review.
Key next checks are CMD's next consolidated results and post-Shengmu acquisition accounting and leverage; raw-milk volumes, prices and unit costs; the subsidiary's cash restrictions and the composition and maturity or settlement of non-current liabilities due within one year, distinguishing borrowings from other obligations; and the terms and distributions of the perpetual instruments. Current ratings and bond-market levels were not independently confirmed for this flash.
