Flash Conclusion
Fujian Zhanglong Group is a Zhangzhou municipal investment and development group with commercial businesses and public-project exposures, relying on operating receipts, parent recoveries, refinancing and support. Its FY2025 audit shows positive operating cash flow and higher profit, materially assisted by lower finance expense, while operating inflow still did not cover net investing outflow. Restricted cash, current funding needs and perpetual financing preserve the support- and refinancing-dependent assessment in the approved October summary; this annual companion does not establish an additional improvement beyond that assessment.
What the Financial Disclosure Establishes
The exact issuer's audited consolidated and parent financial report was acquired from the Shanghai Clearing House package dated 14 October 2026. It covers the year ended 31 December 2025 and contains an unmodified audit opinion signed 30 April 2026. The Event date records verified public availability in that package, not an established original first-publication date. Neither the audit signature nor the MTN issuance notice itself is substituted for the financial disclosure.
The audit removes the previous coverage gap in which FY2025 financials had not been incorporated. It verifies a fuller financial base, rather than proving that every collection, subsidiary recovery or subsequent maturity payment has occurred. Consolidated and parent statements are analyzed separately because the parent is the borrower on the reviewed offshore notes and group resources cannot automatically be treated as parent maturity funds.

Net investing cash flow includes more than ordinary fixed-asset expenditure and is not itself a discretionary capital-spending measure.
Credit Read-Through
The annual operating improvement is useful evidence of cash conversion. The reconciliation records a release of operating receivable items, offset by reduced operating payables and inventory absorption. It does not identify the whole inflow as faster government settlement or establish that project collections have become structurally timely. Operating cash flow plus net investing flow remained approximately minus RMB1.664bn, leaving funding needs before financing and exchange movements.
Revenue growth also deserves a quality distinction. Commodity sales accounted for about 90% of consolidated revenue, with a calculated gross margin of about 1.24%. Water services contributed higher-margin revenue but remained much smaller in scale. Group gross margin was approximately 2.78%, versus 3.10% in the audited comparative. The resulting profit buffer is limited relative to assets and funding obligations; larger sales do not directly demonstrate greater debt-service resilience.
Lower finance expense was an important contributor to the annual earnings result: the reported line fell to RMB630.5mn from RMB1,114.4mn, a reduction of about RMB484.0mn, while profit before tax increased by about RMB101.2mn. The annual note includes a RMB149.6mn exchange gain versus a RMB123.9mn exchange loss, as well as lower interest expense. These are accounting components, not proof that the whole decline is a permanent interest saving or a comparable improvement in recurring operating repayment capacity. A full earnings bridge is outside this event-focused flash.
Group monetary funds were RMB6.466bn, of which the annual note identifies RMB1.046bn as restricted. Cash equivalents of RMB5.420bn covered about 0.17x the RMB31.135bn sum of short-term borrowings and current noncurrent liabilities. This is a deliberately limited denominator, excluding other current financing such as CP and asset-backed instruments. It is not a complete adjusted short-term debt ratio. Even on that incomplete subset, the liquidity buffer is modest.
Parent cash equivalents were RMB2.946bn against RMB24.067bn in those same two parent funding lines, approximately 0.12x. Parent other receivables of RMB32.856bn and long-term equity investments of RMB29.253bn confirm the importance of recoveries and investment assets, but not their immediate availability. The parent note identifies a material property-group principal claim; that stock does not reveal net annual cash support, contractual overdue status or a missed intercompany payment. Those require transaction-level evidence.
Capital growth was also influenced by funding structure. Equity-classified perpetuals increased by RMB2.266bn, exceeding the RMB1.974bn increase in total reported equity. Calculated equity excluding perpetuals therefore fell slightly. This does not reclassify all instruments identically or deny their contractual funding benefits. It means that a larger accounting equity total should not be described as an equivalent increase in ordinary retained capital or a reduction in liquidity demands. Series-level distributions, calls, deferral rights and step-ups remain important.
Government-related support remains relevant through ownership, policy functions, asset transfers and financing relationships. The annual capital note confirms municipal and provincial holdings, while capital-reserve movements include transfers both in and out. Such support can preserve resources and funding access without producing cash at the parent on a bond payment date. Ordinary issuer obligations do not become government-guaranteed merely because a public entity owns the company.
What to Watch Next
The key test is whether repeated cash collections reduce parent and near-term financing dependence after new investment, advances and guarantees are taken into account. The approved summary also incorporates the separately disclosed H1 2026 statements; this annual flash does not attribute interim results to the audit. The separate interim flash addresses the subsequent reporting period, whose public availability was verified in the same October package.
For parent debt service, verify unrestricted cash, committed drawable facilities, expiry and permitted use, plus actual cash principal and interest received from subsidiaries. Annual receivable ageing and balance growth supply monitoring evidence, not proof of delinquency. The July additional discussion's five themes were fully source-tested in the approved summary; its numerical warning hypotheses and cash-pooling claims remain unverified and are not issuer covenants.
Direct confirmation of the historical September 2026 USD maturity payment and the resulting outstanding liabilities remains an important unresolved check. The maturity is now past; this report infers neither repayment nor nonpayment from a proposed refinancing issue. Current bond-market prices, executable spreads and instrument-specific compliance have not been verified, so this financial event does not support a separate pricing recommendation.
