Issuer Overview
- GHIAL operates and develops Rajiv Gandhi International Airport in Hyderabad under a concession to 2068. GAL owns 74%; AAI and Telangana each own 13%. It is an operating concession company with consolidated commercial subsidiaries. Government ownership is not an unconditional debt guarantee.
- Use GHIAL consolidated accounts for financial analysis. Parent and wider-group results are context, not substitutes. S&P describes a 150-kilometre exclusivity provision to 2033, distinct from the longer concession life.
Confirmed Credit-Important State and Trend
- FY2026 audited accounts, publicly filed July 10, show higher earnings and operating cash than FY2025, while gross debt also increased. Lower capital expenditure helped FY2026 retention; dividends consumed most cash remaining after interest and investment. Detailed four-year figures and calculation definitions are in data/gmr_hyderabad_international_airport_limited_source_facts_20261029.json.
- The INR 2,100 crore 7.6% NCD issued January 22 refinanced the February 2026 4.75% notes. The audited note confirms redemption and nil remaining units at March 2026. This supersedes the old unresolved-redemption assumption. Domestic amortization starts in 2031 and ends in 2041; the coupon resets after five years.
- The USD 350 million 4.25% notes remain due October 27, 2027. Sources describe a refinancing intention, not a committed replacement transaction. Audited disclosure describes principal and interest hedges, which mitigate currency exposure but do not remove funding needs.
- Final AERA CP4 Order 15/2026-27 was issued August 24, effective September 1, for April 2026-March 2031. Inspected provisions recognize INR 714.85 crore of CP3 under-recovery and retain efficiency and actual-cost true-ups. Incremental tariffs require completed and commissioned assets in use plus a separate addendum. Recognition is not cash collection or settlement of all litigation.
- S&P raised issuer and notes from BB to BBB-/Stable on September 30. Its original report is available on SGX. Agency forecasts incorporate rising debt and large CP4 investment, not rapid deleveraging. The September 7 issuer notice confirms Fitch's BB+ to BBB-/Stable upgrade; original Fitch rationale was not obtained. January national AA+/Positive ratings use a different scale.
- The Q1 FY2027 operating review shows lower traffic and revenue than the prior June quarter. Duty-free concession transfer/expiry changes the consolidated perimeter, preventing a pure demand interpretation of that sales decline. Independent publication date remains unconfirmed.
Capital Structure and Liquidity
- Audited note 18 describes security over project assets, leasehold rights and specified cash flows/accounts, subject to project agreements and excluded-account limits. Subsidiary creditors retain entity-level claims; consolidated cash is not automatically transferable to the issuer.
- March cash and current investments cover near-term classified borrowings, but investments differ from cash and legal availability was not fully reconciled. Related-party loans are not cash equivalents.
- INR 200 crore of related-party loans remained outstanding at March, due August 21, 2026. Subsequent collection is unconfirmed. Subsidiary guarantee exposure increased; do not add the underlying debt again to consolidated borrowings.
- The audited annual fixed-charge-coverage compliance statement and S&P's no-maintenance-covenant description are separate disclosures. Threshold, legal classification and headroom were not reconciled; no contractual DSCR is inferred.
Reliable Core Routes
- Use SGX issuer annual/interim accounts, AERA final orders and addenda, original S&P materials on SGX, issuer rating notifications and historical ICRA/CRISIL rationales. Source_registry.md records reusable links and extraction cautions.
- The May source-facts file remains historical context. The October file supersedes stale current ratings, February refinancing and CP4 status.

Ongoing Follow-Up Items
- Prioritize committed takeout, conditions precedent, settlement date and tenor for the USD 350 million notes due October 27, 2027. Management's four-to-five-month intention is not funded commitment. S&P's credible-plan reference three to six months before maturity is an agency rating sensitivity, not a contractual deadline.
- Track CP4 cash realization: billed and collected yield, approved capex schedule, commissioning, incremental ARR addenda and final efficiency/actual-cost true-ups. Distinguish financing delay from irreversible recovery loss.
- Compare OCF after financing-classified cash interest, capex and dividends. FY2026 capex is below the upcoming expansion run rate. Hedge-settlement proceeds are not recurring OCF.
- Confirm collection or extension of the INR 200 crore related-party loans due August 21, 2026 and any new lending or guarantees. Reclassification from non-current to current is not a fresh FY2026 transfer. Resolve inconsistent borrower names between note 8's table and footnote before transaction-specific claims.
- Track domestic/international traffic, aircraft activity, cargo and commercial income on a consistent perimeter. A duty-free concession awarded to GAL or expiring at an issuer subsidiary changes comparability. Airport or group growth does not automatically remain inside GHIAL.
Unresolved Issues and Items to Check Next Time
- Full current indentures, trust deeds, intercreditor arrangements, excluded accounts, waterfall, DSRA, restricted payments, cross-default and change-of-control terms remain incompletely reconciled. Keep audited FCC compliance separate from S&P's covenant characterization; do not invent headroom.
- Confirm maturity, redemption, encumbrance and entity-level availability of investments and bank balances. The small margin-money component in one bank-balance note does not establish unrestricted availability of every asset.
- Committed 2027 replacement funding, original Fitch triggers, actual August loan collection, consistent segment profit/capital/cash measures and live bond valuation remain unconfirmed.
- Q1 FY2027 period end is June 30; independent release date is unconfirmed. Do not infer an October 28 earnings date or repeat stale positive narrative against declining tables.
- Final CP4 does not establish that every historical court matter ended. The operative pages were inspected; no line-by-line legal audit of all 560 pages was performed.
Analytical and Report Wording Cautions
- Distinguish issuer from parent, face principal from carrying debt, and statutory company EBITDA including other income from management and S&P adjusted metrics.
- Do not add guarantee exposure wholesale to already consolidated subsidiary debt. Assess issuer support obligations and subsidiary cash separately.
- Government ownership is not an explicit bond guarantee. National AA+ and global BBB- ratings use different scales.
- February 2026 redemption is now confirmed by audited issuer accounts. Actual INR 2,100 crore NCD issuance differs from the earlier INR 2,150 crore rated amount.
- S&P expects baseline liquidity sources above 1.2x uses to June 2027. Under a 15% EBITDA decline it says sources remain above uses, without a stressed multiple. This period excludes the October bullet.
- Do not infer individual-bond relative value from ratings without observed price, yield, spread and terms.
Follow-Up on Management Strategy, Investment Plans, and Financial Policy
- Company plan as described by S&P: expand capacity from 34 million to about 60 million by FY2031 with approximately INR 140 billion CP4 investment. Credit meaning: debt-funded construction precedes part of the incremental tariff cash. Progress: final order effective. Next: verify awards, funding draws, milestones and addenda against the approved schedule.
- Financial policy: FY2026 dividends increased; S&P assumes about INR 4.7 billion annually. Credit meaning: reduced retained cash during expansion. Next: actual payouts, permitted distributions, capacity to retain cash under stress, loans and guarantees.
- Funding policy: longer rupee NCDs replaced the February bullet and demonstrate market access. Next: committed October 2027 takeout coordinated with construction funding, coupon reset exposure and subsequent domestic amortization.
Additional Discussion Verification Record
- gmr_hyderabad_international_airport_limited_additional_discussion_ssc_discussion_20260915.md: Summary scope checked in gmr_hyderabad_international_airport_limited_issuer_summary_20261029.md. Tested against final AERA operative pages, audited FY2026 cash/debt/related-party notes, S&P September rationale and Q1 review. Durable tariff-timing, expansion, takeout and group-cash monitoring appears above. Discussion stress bands are not official thresholds.
