1. Flash Conclusion

Guotai Haitong's unaudited third-quarter disclosure shows a sharp fall in quarterly earnings, highlighting the securities group's sensitivity to capital-market conditions. Q3 operating income fell 46.35% year on year to RMB11.81bn and profit attributable to shareholders fell 27.01% to RMB4.63bn. The first nine months remained profitable, with attributable profit up 12.73% to RMB24.88bn, although the 2025 merger affects comparability.

Parent net capital remained substantial at RMB221.24bn at 30 September, but was below the RMB225.99bn reported at 30 June. The parent capital leverage ratio and liquidity coverage ratio also declined from June, to 17.23% and 278.01%, respectively. These moves warrant monitoring, not a conclusion that regulatory requirements were breached or that liquidity was insufficient. The results do not change the existing view of a large, market-sensitive post-merger franchise supported by its capital base and Shanghai government-related ownership, with trading, secured funding and integration among the main constraints. Expected support is not an explicit guarantee.

2. Earnings: Market Sensitivity Remains Evident

In the three months to September, total profit declined 54.21% year on year to RMB5.39bn; profit attributable to shareholders after non-recurring items declined 50.84% to RMB4.44bn. The company attributes the decrease in quarterly operating income principally to lower gains from fair-value changes in financial instruments amid third-quarter securities-market conditions. The fall illustrates that a broad franchise does not insulate internal capital generation from market and valuation swings.

For January–September, operating income rose 28.51% to RMB58.98bn and attributable profit rose 12.73% to RMB24.88bn. The company absorbed Haitong in March 2025; the prior-period comparison is affected by merger accounting and a changing business perimeter, so it should not be interpreted as clean organic growth. The Q3 report uses Chinese accounting standards. Its operating-income definition should not be equated mechanically with the IFRS total revenue and other income figure in the H1 flash.

Consolidated metric Q3 2026 Q3 year-on-year 9M 2026 9M year-on-year
Operating income RMB11.81bn -46.35% RMB58.98bn +28.51%
Profit attributable to shareholders RMB4.63bn -27.01% RMB24.88bn +12.73%
Attributable profit excluding non-recurring items RMB4.44bn -50.84% RMB23.95bn +46.87%

3. Parent Capital and Funding

Parent net capital declined about RMB4.75bn from June, while risk coverage edged up to 270.48% from 269.86%. The different directions show why a single indicator is not a capital bridge: changes in net capital, risk capital requirements and asset composition all matter. Net capital remained above RMB185.09bn at year-end 2025, while the capital leverage ratio declined from 19.57%. The company states that its parent risk-control indicators complied with applicable CSRC rules.

Parent regulatory metric 30 September 2026 30 June 2026 31 December 2025
Net capital RMB221.24bn RMB225.99bn RMB185.09bn
Risk coverage ratio 270.48% 269.86% 258.34%
Capital leverage ratio 17.23% 17.96% 19.57%
Liquidity coverage ratio 278.01% 290.72% 276.58%
Net stable funding ratio 146.54% 145.69% 143.01%

The consolidated balance sheet had assets of RMB2.419tn at 30 September, up 14.43% from year-end but below RMB2.502tn reported at June. That movement alone does not explain changes in funding or risk appetite. The June interim report showed RMB529.87bn of financial assets sold under repurchase agreements, illustrating why secured funding and collateral terms remain central to the credit analysis; this is a June figure, not a September balance.

The parent liquidity ratios do not establish the amount of unencumbered collateral available to every group entity, the effects of higher repo haircuts or margin calls, or the transferability of funds across borders and currencies. Legal-entity and currency maturity information remains important for offshore creditors. The July additional discussion identified these questions as monitoring issues, not verified evidence of a liquidity shortfall.

The available quarterly material does not provide a complete bridge from June's parent net capital to September's, or the legal-entity and currency liquidity ladder needed for a more granular funding assessment. This flash therefore limits its conclusions to the disclosed indicators and identified monitoring questions.

4. Integration and Bondholder Implications

The company reports that parent integration milestones were completed and that subsidiary integration continues in stages. Asset-management and alternative-investment subsidiary merger transactions closed in April and June, respectively; it also describes progress involving private investment, futures and international subsidiaries. These milestones are evidence of execution, but not proof that all risk systems, controls or legal entities have been fully integrated. Monitor the remaining subsidiary work, group-wide risk aggregation and any required parent support.

Guotai Haitong's scale and connection to Shanghai government-related shareholders remain relevant to the established credit view. They do not establish a government guarantee, or identical protection for Guotai Haitong and each offshore subsidiary or financing vehicle. A bondholder must assess the actual issuer, guarantor, legal terms and ranking. This update does not establish completion or the capital effect of the proposed Shanghai Securities stake disposal previously disclosed in the H1 report.
