Issuer Overview and Repayment Source
JSW Hydro is wholly owned by JSW Neo Energy within JSW Energy. It operates Baspa II and Karcham Wangtoo in Himachal Pradesh. Its 2031 senior secured dollar notes rely on those operating assets, contractual and regulated revenue, and secured accounts. Kutehr and Tidong are outside the issuer according to the FY2026 compliance package. Baspa's concession extends to 2043; Karcham's to 2051, with its 1,000 MW PTC PPA to 2046. Extensions are options. The certificate states that 1,045 MW is currently operational at Karcham versus stated capacity of 1,091 MW; remaining uprating is conditional.
Confirmed Financial and Operating Trends
FY2026 net generation increased but saleable output and revenue fell; management attributes lower annual revenue mainly to higher free power. Earnings and CFO weakened across FY2024-FY2026. FY2024 tariff true-up and depreciation effects require normalization. June 2026 standalone revenue and PAT declined further year on year; parent operating information attributes that quarter to weak hydrology despite 100% availability. The quarterly statement supplies no balance sheet or cash-flow statement.
The parent-reported September-quarter asset update shows generation stabilizing year on year while revenue and EBITDA remained lower; first-half output and earnings were still depressed. Strong availability supports fixed-charge recovery but does not establish restored issuer cash retention or current covenant headroom. The combined asset figures are preserved in data/jsw_hydro_energy_parent_reported_q2_fy2027_20261028.json; no new September standalone financial statements were established.
Dollar note principal continued declining through March 2026, while INR debt increased because translation exceeded repayment. Cash retained in cash and mutual funds fell, company-defined net debt increased and unsecured lending to JSW Energy expanded. That parent receivable earns interest and has tenor, but is not immediately available reserve cash. Its recovery links issuer liquidity to parent credit.
Capital Structure, Protection and Support
The original issue was USD707 million of 4.125% notes due 18 May 2031. Current audited notes describe first-ranking pari-passu security over project assets, accounts, revenues and contractual rights, a 51% share pledge and a negative pledge over the remaining shares. The waterfall and graded distribution restrictions protect creditors but permit surplus release subject to conditions. An explicit parent guarantee or keepwell has not been established.
Original MCS terms allow unpaid sweeps to carry forward without itself constituting default. Actual principal reduction and formal default compliance must therefore be monitored separately. The issuer certificate dated 24 June 2026, calculated at 31 March, reports covenant headroom, a funded DSRA, cumulative MCS with no shortfall and no new injection for MCS. The accompanying statement covers no default or potential default from 1 April through 24 June. These are dated issuer certifications, not independent October assurance.
Contractual DSCR excludes MCS from its denominator and uses defined CFADS and accrual components. It is not statutory CFO divided by all principal and interest cash payments. Covenant net debt and accounting net debt use different cash definitions. Call-spread and forward hedges are disclosed, but complete payoff, maturity, collateral and counterparty exposures remain unconfirmed. Notional amounts do not prove complete debt-service protection.
Regulatory and Legal Context
Company disclosures state that the Supreme Court in July 2025 restored 18% free power from September 2023. The issuer began 18% supply on 19 July 2025 and agreed implementation of energy arrears in November 2025. This is an implemented burden, with remaining arrears unquantified. The underlying judgment has not been independently obtained. Water cess remains contingent under the state's appeal; a land-revenue claim is also contested. Company change-in-law recovery assertions do not establish timing or realization. Contingent totals are not immediate simultaneous cash obligations.
Ratings and Continuing Information Limits
The FY2026 issuer certificate reports Moody's Ba1/Stable and Fitch BB+/Stable for USD notes, and domestic Ind-Ra IND AA/Stable and IND A1+. An official parent notice reports bank-facility affirmation on 27 February 2026; a 17 June 2025 notice reports Fitch BB+/Stable affirmation. The dates, instruments and national/international scales differ. Latest original Fitch and Moody's reports remain unconfirmed.
Post-March account balances, post-June compliance, report-date principal, the DSRA required-versus-funded bridge, the upstream-lending account bridge, full hedge schedules, regulatory recoveries and market prices remain unconfirmed. Individual-plant EBITDA and debt service are not disclosed in materials used; the parent Q2 update reports combined JSWHEL asset EBITDA. Confirm these directly instead of substituting parent consolidated data.

Ongoing Follow-Up Items
- Obtain the next standalone results and compliance certificate. The latest issuer standalone quarter obtained is June 2026, broadcast July 22; annual statements are March 2026. Do not continue describing FY2026 financials as unavailable.
- Compare generation and saleable output, availability and PLF by Baspa II and Karcham. Annual output rose while saleable output fell; the later June quarter showed weak hydrology despite full parent-reported availability.
- Reconcile the parent-reported Q2 output stabilization with the larger earnings decline: test long-term/short-term sales mix, tariff adjustments, free-power effects and collections using issuer disclosures. Do not force a hydrology-only explanation or infer cash recovery from strong availability. Preserve the standalone disclosure schedule when using a parent asset update.
- Track repayment of the unsecured loan to JSW Energy, net new lending, interest collection and maturity of each tranche. Reconcile parent lending to distribution-account releases and previously available balances before judging covenant permission or breach.
- Obtain post March project-account and DSRA balances, actual required-reserve reconciliation, updated contractual DSCR/FFO-net-debt, MCS payments, shortfalls, waivers and amendments. June 24 issuer certification is dated evidence, not October assurance.
- Confirm report-date note principal, MCS performance, price, yield, spreads and 144A/RegS liquidity. Distinguish rigid final maturity from sweep targets whose nonpayment is expressly carried forward without itself constituting default under original terms.
- Track implementation and remaining energy arrears under the disclosed 18% free-power outcome, court/regulator documents, tariff true-ups, CERC/HPERC proceedings, water cess and new land-revenue claims. Do not retain the obsolete assumption that higher free power is merely hypothetical pending litigation.
- Obtain remaining hedge tenor, strikes/caps, payoff coverage by principal/coupon date, premiums, collateral and counterparty exposure. Call-spread notionals and derivative carrying values do not establish full protection or free cash.
- Confirm latest original Fitch/Moody's ratings and sensitivities; separate dated issuer-reported international categories from domestic national-scale bank ratings.
Unresolved Issues and Items to Check Next Time
- The June quarterly release supplies no balance sheet or cash flow; later issuer liquidity and covenant ratios cannot be inferred from profit.
- Full distribution-account origin of parent lending and DSRA required-versus-funded bridge remain unconfirmed. Observed lending does not by itself prove breach; a signed issuer certificate does not independently verify every transfer.
- Remaining free-power energy arrears, water-cess appeal outcome and actual change-in-law recovery/timing for contested levies remain unconfirmed. Land-revenue table 31.72 and narrative 31.71 differ; do not assert a proved rounding explanation.
- Latest original agency reports, trustee-only evidence, complete hedge schedules and dated bond-market data remain unconfirmed.
- Explicit parent guarantee or keepwell has not been established. Group support remains a relationship/expectation unless the relevant document proves a legal obligation.
- Individual-plant EBITDA and standalone debt service by plant are not disclosed in the materials used; parent combined JSWHEL EBITDA is available, but do not allocate it using generation shares.
Analytical Cautions
- Anchor analysis in the operating issuer and two plants. Kutehr and Tidong are expressly outside JSW Hydro in the FY2026 certificate; group growth is parent context.
- Stated Karcham capacity 1091 MW differs from 1045 MW currently operational in the certificate; remaining uprating is conditional.
- Contracted fixed-cost recovery partly buffers hydrology but does not protect every unit of saleable power or guarantee cash realization of tariff/legal recoveries.
- Reconcile USD amortization with INR debt translation. Higher INR carrying debt in FY2026 was not evidence of new dollar borrowing; it still reflects a currency exposure requiring hedge analysis.
- CFO excludes financing-classified cash interest. Contractual CFADS and accrued DSCR denominator differ from statutory CFO and all-in principal cash service; MCS is excluded from the reported denominator.
- Accounting capital-management net debt and covenant net debt use different cash definitions. DSRA is included in certificate total accounts and must not be added twice.
- Receivable and unbilled-revenue trends remain useful early warnings; March customer collections improved, while cash retention weakened through parent lending.
- Contingent liabilities are not simultaneous immediate cash outflows. Company recovery assertions are not confirmed cash collection.
Report Wording Cautions
- Do not call the notes parent guaranteed, a simple unsecured group credit or a fully ring-fenced pure project bond without documentary support.
- Domestic IND AA/Stable and IND A1+ are not comparable directly with international BB+/Ba1. The FY2026 certificate reports the international categories; original current agency reports were not obtained.
- Use certificate date 24June 2026 separately from calculation date 31March 2026. Do not describe it as current October compliance.
- Do not equate hedge assets, OCI, parent loans, earmarked balances or the DSRA with unrestricted debt-service cash.
- Avoid definitive buy/sell or cheap/rich claims without dated market data and current principal.
Follow-Up on Management Strategy, Investment Plans, and Financial Policy
- Monitor JSW Energy growth capex, acquisitions, net debt and liquidity because the parent is both potential supporter and debtor of JSW Hydro. Support ability and loan recovery can weaken together.
- Separate issuer cash retention, permitted upstreaming, parent-loan repayment and any fresh sponsor support. Historical interest waivers/capital contributions show discretionary support, not a guarantee of future assistance.
- Track whether cash release continues while hydropower earnings weaken, whether reserves rebuild, and whether parent lending is repaid rather than rolled over.
