Report date: 2026-08-20 Event date: 2026-06-30 Event title: FY2025 Annual Material Information Announcement

1. Flash Conclusion

Shandong Gold Group's official FY2025 Annual Material Information Announcement is constructive for the group's near-term operating and funding profile. Audited consolidated revenue increased 9.2% to RMB272.7bn, operating profit rose 62.4% to RMB9.24bn and net profit increased 49.7% to RMB6.19bn. Monetary funds increased to RMB27.0bn, finance cost fell 18.2% to RMB3.04bn, and gold output reached 54.17 tonnes. These outcomes support the existing view that the Shandong provincial government-related group entered FY2026 with a stronger earnings and liquidity buffer than in FY2024.

The announcement does not, however, establish durable deleveraging or unrestricted parent-company liquidity. Short-term borrowings, notes payable and non-current liabilities due within one year all increased, while the group continued mine-development and overseas investment. The report therefore leaves the credit view in the 2026-08-19 issuer summary unchanged: SDGOLD is a support-backed provincial-SOE resources credit with a meaningful operating franchise and domestic funding access, but also commodity, refinancing, investment and parent/subsidiary-structure risk. Provincial ownership and market access remain mitigants, not a legal government guarantee for debt.

2. What Was Announced

The 2025 annual material-information announcement provides audited group-consolidated financial information. The issuer states that the 2025 financial-settlement figures had not yet received Shandong SASAC approval at the time of the announcement; this is different from a qualification of the auditor's reported figures. It also states that the 2024 comparative income-statement information was adjusted for the accounting treatment of standard-warehouse transactions. Comparisons of revenue, cost and investment income should therefore be read with that stated comparability change in mind.

The reported earnings progression was material. Revenue rose to RMB272.7bn from RMB249.8bn, while operating profit rose to RMB9.24bn from RMB5.69bn. Net profit increased to RMB6.19bn from RMB4.13bn, and the disclosed operating-profit margin rose to 3.39% from 2.27%. The balance sheet also expanded: total assets reached RMB244.7bn and owners' equity RMB89.0bn. Gold output increased to 54.17 tonnes from 52.04 tonnes, providing an operating underpinning for the improved earnings.

The source's audit disclosure strengthens the reliability of the reported figures but does not remove every analytical limitation. The announcement identifies the FY2025 consolidated audit report as a standard unqualified opinion, while separately noting that the financial-settlement data had not yet received Shandong SASAC approval. That distinction supports use of the reported figures as audited accounting information; it should not be read as confirmation of any separate approval, funding commitment, or government repayment obligation. The flash therefore uses the annual announcement as evidence of the group's reported financial position, not as a substitute for security-level documentation or parent-only liquidity analysis.

The funding picture is mixed rather than uniformly stronger. Monetary funds increased by RMB10.8bn to RMB27.0bn and long-term borrowings declined by RMB4.5bn to RMB27.5bn. At the same time, short-term borrowings rose by RMB3.2bn to RMB39.3bn, notes payable increased by RMB4.3bn to RMB12.5bn, and non-current liabilities due within one year increased by RMB8.2bn to RMB18.1bn. This broader liability line increases near-term liability-management needs, but the disclosure does not establish that it is wholly interest-bearing debt. Finance cost declined, which is a positive signal for current debt-service capacity, but the announcement does not provide the complete reconciled debt, net-debt, maturity or parent-only liquidity analysis needed to conclude that the refinancing burden has structurally fallen.

3. Credit Read-Through

For creditors, the primary positive is the combination of higher profit, cash and output. The improvement in operating profit exceeded revenue growth, while the lower finance-cost line reduces the immediate pressure from interest expense. The group also reported FY2025 actual investment of RMB6.87bn against a plan of RMB7.56bn. This confirms continuing resource-development spending alongside higher reported earnings and monetary funds, but not the source, timing or sustainability of the related cash flows.

The same disclosure illustrates why operating improvement should not be equated with free cash flow or parent deleveraging. The group's investment program included RMB560m in FY2025 spending on the Jiaojia integrated mine project, for which the stated total investment is RMB8.27bn, and RMB1.19bn of completed overseas investment. The disclosed investment was undertaken alongside higher reported earnings and monetary funds, but its funding source, cash-flow timing and debt effect remain unconfirmed. Such expenditures can add long-lived production capacity and resource value, but they can also absorb cash before returns are realized. The announcement does not supply a complete FY2025 operating, investing and financing cash-flow statement in the materials extracted for this flash. It also does not provide a reconciled group debt and net-debt series, committed-facility availability, restricted-cash detail or parent-only cash and direct debt.

The higher short-term funding categories make those omissions credit-relevant. Consolidated cash is not automatically available to the parent issuer, particularly where listed-subsidiary minority interests, subsidiary debt, distribution policy, project needs and regulatory constraints affect upstreaming. The group's listed subsidiary remains an important earnings and asset-value proxy, but it is a separate legal entity. Investors in a parent or offshore group security should therefore assess the specific issuer, guarantee, ranking and covenant package rather than assuming that consolidated cash or provincial ownership provides equivalent protection across instruments.

The provincial-SOE link remains relevant to refinancing resilience. It supports domestic market recognition and access to bank and bond funding, particularly when operating conditions are favorable. Nothing in the annual announcement converts that support expectation into an explicit Shandong provincial or PRC repayment obligation. The improved FY2025 results are consequently a positive operating input to the support-backed credit case, not evidence of a sovereign wrap or a change in security-specific recovery prospects.

4. Key FY2025 Indicators

Indicator FY2025 FY2024 Credit reading

Operating profit RMB9.24bn RMB5.69bn Stronger operating profitability supports current debt service.
Net profit RMB6.19bn RMB4.13bn Positive earnings momentum; not a substitute for parent free-cash-flow analysis.
Monetary funds RMB27.0bn RMB16.3bn Larger consolidated liquidity buffer, subject to location and restriction uncertainty.
Short-term borrowings RMB39.3bn RMB36.1bn Refinancing dependence remains material.
Non-current liabilities due within one year RMB18.1bn RMB10.0bn Higher near-term liability-management needs; the disclosure does not establish that the full balance is interest-bearing debt.
Long-term borrowings RMB27.5bn RMB32.0bn Helpful maturity-mix movement, but insufficient alone to establish deleveraging.
Gold output 54.17 tonnes 52.04 tonnes Supports the operating franchise, while leaving price, cost and execution risk.

5. What To Watch Next

The next credit check should focus on the parent group's full FY2025 and subsequent interim cash-flow statements, a reconciled debt and net-debt bridge, short-term maturities, committed facilities, restricted cash and parent-only liquidity. These items are needed to determine whether the higher cash balance and lower finance cost translate into a durable reduction in refinancing risk.

Investors should also monitor actual spending and completion milestones for Jiaojia and other domestic and overseas projects; mine output, realized gold pricing, cost and safety performance; and the capacity for dividends or other cash upstreaming from Shandong Gold Mining. The group's reported investment and funding access are constructive, but capex or acquisitions that outpace internally generated cash would weaken the benefit of the FY2025 earnings improvement.

Finally, any current rating-agency action and the terms of individual domestic or offshore securities remain important. The announcement does not resolve the relevant guarantor, ranking, covenant, cross-default, change-of-control or remittance questions for a particular bond. Those matters should be confirmed from the applicable rating materials and bond documentation before a security-level investment conclusion.
