Issuer Overview
- Current legal name: Zhengzhou Transportation Development Investment Group Co., Ltd., formerly Zhengzhou Metro Group Co., Ltd.; renamed platform inaugurated 29 December 2024. The existing folder and market ticker ZZMTRG retain the former-name convention.
- Municipal urban rail investment, construction and operating platform in Zhengzhou, Henan, with integrated development around stations and a broader transport mandate. The historical CCXI source identifies it as the city's sole urban rail construction and operating company.
- The H1 2026 report confirms unchanged municipal actual control through the Finance Bureau. Annual shareholder-note legal names and incomplete registration of a stake transfer require reconciliation; do not substitute historical ownership percentages for a verified current register.
Franchise and Public Support
- Essential transport infrastructure and institutional role provide public support incentives. The official profile checked in May 2026 described 13 lines, 286 stations and 450 km; this is dated operating context, not a newly verified September count.
- Government-directed fares and the high rail operating cost base leave commercial receipts inadequate for group costs and financing. Supplementary resource, station-development and service activities remain small relative to the funding burden.
- FY2025 recognised operating subsidies were central to near-break-even accounting earnings. They are distinct from year-end earmarked rail-funding receivables; their detailed reconciliation and cash receipt were not obtained.
- Zhengzhou has a substantial economic and fiscal base. New FY2025 primary data show general-budget revenue growth alongside weaker government-fund revenue and property activity; all-city resources are not automatically issuer liquidity.
Financial Direction and Liquidity
- FY2025 OCF worsened, while lower cash capex reduced the OCF-minus-capex funding gap. H1 2026 OCF remained negative but improved and cash capex fell further. Net profit stayed very small after other income and substantial interest expense.
- June cash rose with positive net financing cash flow and realised borrowing, rather than a self-funded operating surplus. Current non-current liabilities increased materially; cash equivalents covered about two-thirds of that category, before other obligations and cash-access constraints.
- Total other receivables continued to rise and dominated current assets. The December 2025 stock was predominantly earmarked rail funding and included substantial balances aged over three years. The composition of the June increase and settlement schedule remain unconfirmed; it is not a verified unpaid-subsidy aging schedule.
- Recorded equity includes perpetual/renewable instruments. Their terms and economic cash demands must be checked individually. Historical CCXI-adjusted debt/equity/coverage must remain separate from the latest statutory figures.
- Recent capex reduction eases incremental financing requirements but does not prove new investment or maintenance needs have ended. Project approvals and funded budgets are needed before extrapolating the lower spending level.
Bondholder Structure
- The primary HKEX final USD2027 circular confirms USD500m direct senior unsecured issuer obligations, 4.751% coupon and fixed 31 October 2027 maturity. PRC government, including Zhengzhou government, is expressly not an obligor.
- The negative pledge concerns defined outside-PRC securities indebtedness and excludes bilateral/syndicated/club loans. It does not generally prevent domestic secured funding. Sale-and-leaseback restrictions and fare-right pledges are separately disclosed.
- Original change-of-control and registration puts, cross-default thresholds, reporting covenants and English-law/Hong-Kong-jurisdiction terms are structured in the dedicated JSON. Current compliance, subsequent amendments, executed trust deed and offshore cash arrangements remain unconfirmed.
- Domestic renewal dates are not automatically final mandatory redemption dates. Consolidated asset/cash totals do not establish unrestricted issuer-level funds or equal recovery access across subsidiaries.
Ratings and Sources
- Primary Fitch metadata confirmed on 6 August 2026: A IDRs, Stable outlook, b standalone credit profile and A USD2027 notes. The current rating reference must remain separate from standalone financial capacity and a legal government guarantee.
- Historical CCXI AAA/Stable attribution is dated 4 November 2025. A newer July 2026 SHCH follow-up listing exists, but its attachment was not obtained; current rationale/conditions remain unconfirmed.
- Official H1 2026 CFAE disclosure is dated 31 August 2026. Annual FY2025 official listing is dated 30 April 2026; detailed audit/note evidence was inspected through the identified mirror, with key annual balances corroborated by official H1 comparatives only.
- Reusable acquisition routes and caveats are in source_registry.md and issuer_notes.md. Historical data remain in data/zhengzhou_metro_group_financials_2022_2025h1.json; latest statutory comparisons and original offshore terms are in the new dated JSON files.

Ongoing Follow-Up Items
- Use the verified CFAE route below first for annual, interim and quarterly financial disclosures, then Shanghai Clearing House, ChinaMoney and official company routes as needed. Continue checking company bond annual reports and domestic rating follow-up reports.
- Track government capital injections, earmarked public transport infrastructure funds, operating subsidies, government special bond funds, and the timing of cash receipt.
- Monitor passenger traffic, fare revenue, fare-service gross margin, metro operating losses before and after subsidies, and the fare-setting framework.
- Monitor transit-oriented development, Rail Property, resource development, land-related income, other receivables, and cash collection under a weaker property market.
- Track total debt, short-term debt ratio, bank credit-line usage, unused credit lines, committed vs cancellable status, collateral conditions, 2026-2027 maturities, and offshore refinancing.
- Monitor restricted assets, fare-right / operating-right pledges, external guarantees, related-party receivables / payables, and structural subordination for unsecured bondholders.
- Retrieve the July 2026 CCXI follow-up attachment; historical AAA/Stable is a dated opinion. Current primary Fitch metadata is available; monitor future actions and any Moody's/S&P evidence separately.
Unresolved Issues and Items to Check Next Time
- FY2025 annual and latest H1 2026 evidence are incorporated in the September Summary. Annual details come from an audited-report mirror; official CFAE title/date were checked and key annual balances corroborated by official H1 comparatives, but the annual primary attachment remains unavailable. Q1 official listing was confirmed without content inspection; older intermediate periods do not require separate reports after the latest paired refresh.
- The CFAE archive now confirms a 2025 semiannual report listing dated 2025-08-29; matching that attachment to the PDF used in the current report still needs verification.
- The legal commitment nature, collateral, usage restrictions, bank-by-bank breakdown, and rollover record of unused bank credit lines had not been confirmed.
- The legal nature, repayment obligation, equity credit, redemption practice, and ranking of government special bonds, perpetual trusts, perpetual MTNs, and perpetual insurance debt plans remain unresolved.
- Original USD500m 4.751% 2027 conditions were inspected in the final HKEX circular. Executed trust deed, later amendments, current registration/covenant compliance and offshore liquidity/hedging/remittance remain unconfirmed. Distinguish original rights from demonstrated present compliance.
- Primary Fitch August 2026 metadata is confirmed. Newest domestic rating contents remain unconfirmed despite the verified July 2026 listing.
- Live prices, Z-spread / OAS, and peer comparisons with Wuhan Metro, Guangzhou Metro, and other Chinese metro GREs had not been obtained.
Verified Financial Disclosure Retrieval Route
- Verified on 2026-09-30. Start with the CFAE financial report archive. Enter
郑州交通发展投资集团in the disclosure-title field and click查询. Allow the client-rendered results to load, then open the matching issuer result and its PDF attachment. An empty initial page shell or a general search-engine miss does not establish that a disclosure is absent. - Confirmed official listings: 2026 H1 report, disclosed 2026-08-31; 2026 Q1 financial statements, disclosed 2026-04-30; 2025 annual report, disclosed 2026-04-30. The same archive showed 2025 Q3 dated 2025-10-29 and 2025 H1 dated 2025-08-29. Keep reporting-period ends separate from disclosure dates.
- The 2026 H1 official attachment was successfully acquired through the normal browser download and parsed as a valid 28-page PDF. Page 5 defines the reporting period as 2026-01-01 through 2026-06-30; pages 21-22 show the consolidated balance sheet at 2026-06-30; page 23 shows the January-June 2026 consolidated income statement. A bare scripted PDF fetch failed with a connection reset, while the browser download succeeded. Use normal public controls when direct retrieval fails; do not bypass CAPTCHA, authentication or security controls. Q1 listing confirmation is separate from content inspection, which was not performed for Q1 in this follow-up.
- Alternative official route: SHCH MTN issuance archive, filter by the current legal issuer name, open the issuance page, and inspect its attachment rows. The 2026-09-23 issuance page lists 2026 H1 financial statements and the 2025 audited report. Their contents were not acquired through that page in this follow-up; the issuance-page date must not substitute for the standalone financial-report release date.
- The company announcements list did not show the 2026 financial reports when checked. This is a bounded observation of that list, not proof of absence across the entire company website. The reusable operational route is also saved in
issuer_report_management/disclosure_search/issuers/zhengzhou_metro_group.json.
Analytical Cautions
- Keep operating subsidy income, December earmarked rail-funding receivables and the June total other-receivable increase distinct; the collected evidence does not reconcile them. Low impairment allowances are not proof of immediate collectability.
- Current assets dominated by other receivables are not a liquid cash buffer. Check issuer-level unrestricted cash, near-term principal and contractor payments, committed facilities and actual settlement.
- Do not extend the old low short-debt ratio or March 2025 unused-line amount into current liquidity.
- The correct credit frame is a support-driven China urban rail GRE, not a stand-alone fare-revenue credit.
- Monopoly and passenger demand are credit positive mainly because they increase policy importance and support incentives; they do not create strong stand-alone profitability.
- Subsidies recognised in income should be separated from cash receipt. A build-up of other receivables can weaken cash flow even when accounting support is visible.
- Zhengzhou's economic position within Henan is supportive, but rising local government debt and weaker government fund revenue can constrain support capacity.
- Treat subsequent construction and integrated development plans as potential capex pressure unless funding sources and capital ratios are confirmed.
Report Wording Cautions
- Use the current legal name, Zhengzhou Transportation Development Investment Group Co., Ltd., while explaining the former Zhengzhou Metro Group name for continuity.
- Avoid saying or implying that the bonds are government guaranteed unless the relevant bond documents confirm it.
- Cite the primary August 2026 Fitch reference for current metadata. Do not extend the dated historical domestic rating analysis to the inaccessible July 2026 follow-up.
- Avoid treating domestic MTN credit enhancement status as applying automatically to offshore bonds or other instruments.
- Separate issuer-level support assessment from issue-level creditor protection.
Follow-Up on Management Strategy, Investment Plans, and Financial Policy
- Recent capex and the funding gap fell with the project-completion cycle, but OCF remains negative and debt service rises. Confirm approved annual investment budgets, capital contributions and funding before treating this improvement as permanent.
- Obtain a concrete issuer-level plan for the fixed October 2027 USD maturity, including currency, remittance and committed financing; domestic renewal options require separate contract/economic analysis.
- Assess whether the post-rename platform expands from metro-only functions into broader public transport and transport-industry consolidation, and whether this increases or dilutes support priority.
- Track planned Line T1, Line T3, the Dengfeng-Olympic Sports Center section of Line S2, the 2035 and 2050 rail network plans, and the funding model for any subsequent construction.
- Monitor whether integrated development around stations and along rail lines produces cash returns or increases working-capital and property-market exposure.
Items to Check for Ratings and Bond Investors
- Newest CCXI attachment, later Fitch actions, any Moody's/S&P information and support-assessment changes.
- Offshore executed trust deed and amendments, registration/covenant compliance, exact ownership trigger, USD maturity funding and remittance procedures; the original offering conditions are now structured in data.
- Domestic MTN offering memoranda and trustee / ongoing-period management documents.
- Instrument-level debt maturity schedule, collateral, restricted assets, external guarantees, related-party exposure, and priority debt.
- Live USD and RMB bond prices, spreads, liquidity, benchmark eligibility, and same-tenor GRE comparisons.
