Flash Conclusion
SK On's August 14 DART filing supplies the legal-entity cash, debt and cash-flow evidence missing from the July 31 battery-business earnings release. The Korean battery manufacturer now also incorporates trading, terminal and lubricant businesses. Its separate-company operating cash flow was KRW1,157.2 billion in H1 2026, while SK On and subsidiaries generated KRW1,414.6 billion. Both exceeded cash purchases of property, plant and equipment. This adds repayment evidence beyond the positive battery quarter covered in the August 3 flash.
The improvement remains qualified. Separate-company cash of KRW983.7 billion compares with KRW3,255.7 billion of current borrowings, and consolidated balance-sheet borrowings excluding leases were KRW21,143.8 billion. Working-capital releases helped separate-company cash generation; consolidated earnings combine several businesses and temporary or incentive-related items. The filing reduces the disclosure gap and confirms progress on restructuring, but does not establish recurring battery profitability or eliminate refinancing dependence. Kookmin Bank-guaranteed SK Battery America notes continue to require a separate guarantor and instrument analysis.
What the Filing Adds
The official half-year filing identifies SK On Co., Ltd. and includes separate and consolidated interim statements for January–June 2026, with June 30 balance sheets. It is a distinct disclosure from SK Innovation's July 31 segment earnings event, although both cover the June reporting period. EY Hanyoung's August 13 review reports state that nothing came to its attention indicating material non-compliance with K-IFRS 1034. These are interim reviews with a narrower scope than an audit; August 14 is the filing date, rather than the review date or period end.
| KRW billion | Separate company, Dec 2025 | Separate company, Jun 2026 | SK On consolidated, Dec 2025 | SK On consolidated, Jun 2026 |
|---|---|---|---|---|
| Cash and cash equivalents | 640.4 | 983.7 | 5,046.4 | 5,096.0 |
| Short-term borrowings plus current portion of long-term debt | 4,406.1 | 3,255.7 | 8,272.1 | 7,396.9 |
| Bonds and borrowings, total carrying amount excluding leases | 7,823.5 | 7,214.9 | 20,545.9 | 21,143.8 |
| Lease liabilities, current and non-current | 75.6 | 222.3 | 242.0 | 355.9 |
| Total equity | 13,781.6 | 14,185.1 | 14,433.4 | 15,264.7 |
Borrowings are calculated from short-term loans, current long-term debt, and non-current bonds and loans. They exclude separately classified liabilities held for sale at December 2025, including KRW5,378.5 billion of Kentucky-related long-term borrowing transferred in May. The table therefore does not measure a constant-perimeter change in all economic debt. Equity also includes hybrid capital; it is not an equivalent amount of cash available for repayment. Consolidated cash belongs across the subsidiary perimeter and cannot automatically be treated as cash available to the Korean parent.
Cash Generation and Refinancing
Separate-company operating cash flow improved to KRW1,157.2 billion from an outflow of KRW1,046.8 billion in H1 2025. Cash purchases of PPE were KRW77.3 billion, leaving KRW1,079.8 billion after that expenditure by a simple calculation. However, the current operating inflow includes a positive KRW648.5 billion working-capital adjustment. This supports cash in the reported period but could reverse, so it should not be annualized as recurring debt-service capacity. The separate company also holds KRW2,620.6 billion of short-term loans and KRW12,816.4 billion of investments in subsidiaries, associates and joint ventures. These assets are distinct from immediately available cash and underline its financing links to the wider business.
Consolidated operating cash flow was KRW1,414.6 billion, compared with KRW1,237.5 billion a year earlier. PPE purchases fell to KRW970.6 billion from KRW2,419.5 billion. The resulting KRW444.0 billion surplus after PPE purchases is constructive, compared with a KRW1,182.0 billion deficit on the same calculation a year earlier. It is a limited cash measure: it excludes other investing flows, leases and financing distributions, and is not a comprehensive free-cash-flow calculation. Consolidated working capital absorbed KRW325.2 billion, contrasting with the release in the separate company.
Positive cash after PPE spending did not translate into a substantial increase in consolidated cash. Net investing outflow was KRW728.3 billion and financing outflow KRW804.6 billion; a positive KRW167.8 billion exchange-rate effect helped leave ending cash almost unchanged from December. Borrowing cash flows also differ from closing debt carrying amounts because of currency, non-cash and perimeter effects. A definitive deleveraging conclusion requires a fuller bridge.
Liquidity is better evidenced, but refinancing remains material. Separate cash covers only about 30% of the KRW3,255.7 billion current borrowing amount; gross consolidated cash covers about 69% of KRW7,396.9 billion. Note 4(5) identifies KRW357.8 billion of restricted cash: KRW357.1 billion in a debt-service reserve and KRW0.7 billion in a customs deposit. Deducting these specified restrictions leaves KRW4,738.2 billion, or about 64% coverage. This residual is not verified unrestricted or freely transferable parent liquidity. Restricted short-term financial products are outside cash and are not deducted again. These ratios exclude leases and are not complete liquidity tests. The liquidity notes report available borrowing and credit limits of KRW1,040.1 billion separately and KRW7,172.3 billion consolidated. They are management-reported access, not a verified pool of unconditional, committed and freely transferable liquidity. Facility tenor, draw conditions, restrictions and subsidiary allocation need confirmation before adding them to repayment resources.
Restructuring and Earnings Quality
The filing establishes an outcome previously treated as prospective: the Kentucky 1 and 2 plant assets and liabilities were transferred to Ford in May 2026, and Ford's capital reduction in SK On Tennessee was completed. The prior year-end held-for-sale liabilities associated with that transfer were KRW5,418.2 billion. This supports the restructuring case by evidencing an actual asset and liability transfer. It does not demonstrate that every residual obligation, guarantee, project commitment or customer responsibility has ended. Such exposures must be checked individually rather than assumed to disappear with the plant transfer.
The earnings perimeter remains critical. Consolidated H1 operating profit was KRW1,681.6 billion, including Q2 operating profit of KRW1,826.8 billion, consistent with the broader merged-entity figure in the July presentation. The Q2 battery-business operating profit of KRW821.8 billion in that presentation is a different measure. The separate company's H1 operating profit was KRW566.8 billion. None of these figures should be substituted for another when assessing the source of cash to a particular creditor.
Revenue comparisons also require care. The filing reports that AMPC-related amounts previously presented as other operating income are combined with revenue and other operating income from this half-year. It states that this presentation change does not affect operating profit, net profit or net assets. The revenue note groups AMPC-related receipts with derivative gains and customer compensation in other revenue components; that aggregate is not a clean measure of recurring battery earnings. The November 2025 SK Enmove merger further changes the year-on-year business mix. Higher legal-entity revenue or profit therefore does not resolve the earlier question about profitability excluding incentives and one-off compensation.
For unguaranteed SK On creditors, the useful change is that cash generation and debt can now be tested at the actual issuer and subsidiary-group levels. The remaining downside lies in repeating that generation while funding investments and refinancing debt. For Kookmin Bank-guaranteed SKBA notes, this filing provides operating context rather than a fresh verification of the guarantee, covenants or guarantor rating. No market spread or current relative-value conclusion is made.
What To Watch Next
The next statement review should reconcile cash debt movements and test operating cash after working-capital swings, PPE spending and lease payments at each entity level. It should verify current maturities, secured debt and facility availability, and distinguish parent liquidity from cash retained in project subsidiaries. Kentucky transfer completion should be followed by a check of residual guarantees, investment commitments and settlement costs.
The main earnings question remains battery profitability and cash conversion excluding temporary compensation and AMPC, alongside utilization and realized cost savings. The filing supplies June financial positions; it does not establish October liquidity or Q3 results. No Q3/9M statement or exact next publication date was found in the official DART and parent IR routes checked through October 20. The next results and their exact release timing remain monitoring items. Latest rating texts, bond-specific guarantee effectiveness and covenant compliance also remain unconfirmed in this flash.
